This General Agreement (“Agreement”) is a binding contract between you (“User”) and Community Room Inc / Fluidworks.ai (“Provider”). By signing up and using our services, you agree to the terms outlined below.
1. Access to Products and Services
1.1. Services Provided:
Upon registration and agreement to the specified terms, the User gains access to the Provider’s products and services, which include but are not limited to:
• An AI-driven Agent for human-like product demos and onboarding.
1.2. Service Scope:
The exact scope of the services is described in detail in the associated invoice. Access to these services is contingent upon timely payments as outlined below.
2. Pricing and Payment Terms
2.1. Pricing:
The pricing for the services will align strictly with the invoice provided at the time of agreement. No additional free features are included unless explicitly stated in the invoice.
2.2. Payment Obligations:
The User agrees to:
• Pay the fees as described in the invoice.
• Abide by the payment schedule, including any onboarding or initial payment requirements.
2.3. Payment Schedule:
• An initial payment as detailed on the invoice is due at the time of signing.
• Monthly payments must be made as per the agreed billing cycle, typically within seven (7) days of invoice issuance.
2.4. Refund Policy:
Refunds are not provided unless otherwise specified in the agreement or invoice.
3. Registration and User Responsibilities
3.1. Account Creation:
Users must provide accurate and current information during registration and maintain the confidentiality of their login credentials.
3.2. Prohibited Activities:
Users are prohibited from:
• Reverse-engineering, decompiling, or otherwise attempting to access the underlying technology.
• Using the services for illegal purposes or in violation of this Agreement.
4. Feedback and Intellectual Property
4.1. Feedback:
Users may provide feedback on the services. All feedback becomes the property of the Provider and may be used to enhance or improve the products.
4.2. Ownership:
The Provider retains ownership of all intellectual property, including features, updates, and enhancements related to its products and services.
5. Confidentiality
5.1. Non-Disclosure:
Both parties agree to keep any confidential information shared during the term of this agreement private and protected.
5.2. Exclusions:
Confidentiality obligations do not apply to information that:
• Is publicly available.
• Was independently developed without the use of proprietary information.
6. Term and Termination
6.1. Agreement Term:
This Agreement will remain effective for the term specified in the invoice, typically a 12-month period unless terminated earlier under these terms.
6.2. Termination by User:
Users may terminate the agreement by providing 30 days’ written notice.
6.3. Termination by Provider:
The Provider reserves the right to terminate access for violations of this Agreement or non-payment of fees.
6.4. Effect of Termination:
Upon termination:
• Users must cease using the services.
• All unpaid balances become immediately due and payable.
7. Limitation of Liability
7.1. As-Is Basis:
The services are provided “as is,” without warranties of any kind.
7.2. Liability Cap:
The Provider’s total liability for claims related to this agreement is limited to the amount paid by the User in the preceding 12 months.
8. Governing Law and Dispute Resolution
8.1. Jurisdiction:
This Agreement is governed by the laws of Delaware, and any disputes will be resolved in Delaware courts.
9. Notices
9.1. User Notifications:
Notices to Users will be sent to the registered email address or other contact information provided during sign-up.
9.2. Provider Notifications:
10. General Terms
10.1. Entire Agreement:
This Agreement, along with the associated invoice, constitutes the full understanding between the parties and supersedes any prior agreements.
10.2. Amendments:
The Provider reserves the right to modify this Agreement. Continued use of the services signifies acceptance of updated terms.
10.3. Force Majeure:
The Provider is not liable for delays or failures resulting from causes beyond its reasonable control, including natural disasters or government actions.
By signing up and making payments as per the invoice, the User agrees to be bound by the terms outlined in this Agreement.
